Recently we have advised on:
- Framework agreement: advising a cyber security provider on a framework agreement to provide its services to overseas Cedants of an international insurance company. This involved significant negotiation on the client’s standard framework agreement to ensure it was commercially, practically and legally suited to both parties’ requirements so that the deal could proceed.
- Supply of services agreements: advising a start-up facilities management tech company on its online and paper business to business supply of services contract, and website policies. This needed particular attention to IP ownership and usage provisions, setting out concisely the services to be provided and their pricing structure, and limitation of liability.
- Franchise agreement: advising an educational establishment on amendments to another party’s franchise agreement. This required particular attention to protection of branding and data issues, and translating certain complex provisions so the client could decide if the contract was commercially viable.
- Sponsorship and filming agreements: advising a professional sports team on a sponsorship agreement with a major sponsor, and an agreement on the use of its stadium for filming purposes. These involved may issues, including IP, branding and image rights, ownership and usage, consistency with existing contractual obligations, and data protection.
