Solicitors for Limited Liability Partnerships

Retain the flexibility of a partnership with protection from unlimited debts

A Limited Liability Partnership (LLP) is a separate legal entity, which, unlike other forms of partnership, provides limited liability to the partners. The main benefit of this structure is that members are not personally responsible for the debts of the business.

Our experts at Branch Austin McCormick can advise you on which structure works best for your business, and if you choose the LLP model, we can draft a limited liability partnership agreement for you.

Which businesses structure themselves as a LLP and why?

The LLP structure works well for individuals who want to do business together.

Typically, that’s professionals such as lawyers, accountants, consultants, and doctors.

You might also consider the LLP structure for a joint venture, where the parties are coming together for a long term project. It allows for more organisational flexibility than limited companies, because the members can tailor the profit-sharing arrangements in the LLP agreement.

Be aware however, that this structure is not suitable if you’re in business on your own, or you want to grow your business by raising capital through issuing shares.

Testimonials
Harender was really helpful in supporting us through this deal, ensuring our objectives were met throughout – and getting it done on time, and on budget. Her understanding of our business needs, and ability to translate things into plain English to help us make decisions was invaluable.
I would most definitely recommend Branch Austin McCormick LLP. All stakeholders were looking at an exit strategy and successful sale of our company. I must say Harender and her team guided us through the process from start to finish and always there to answer any questions and protect our interest.
